TERMS AND CONDITIONS OF SALE

TERMS OF PAYMENT: Invoices are due and payable in full upon thirty days after receipt of merchandise. FREIGHT: All shipments are F O B Bronx NY. Freight is prepaid and allowed to any point in the Greater New York City Area provided each shipment has a net value of $1200.00 or more (tax not included). RapidLite reserves the right to select routing and mode of transportation. If customer specifies an alternate route, the customer must assume all additional transportation charges. Add‑ons to an order, verbal or written, qualify for freight prepaid delivery and will be accepted if original order has not already been shipped. TAXES: Prices do not include any federal, state, or local taxes. PRICES: Prices are subject to change without notice. In the event of a price change, all orders at hand will be filled at the existing prices provided such orders are released for shipping prior to any price changes. If any orders are not released for shipment prior to a price change, the orders will be billed at prices in effect at the time of shipment. Written quotations expire 30 days from date of quotation, unless otherwise specified. DELIVERY DATES: RapidLite Fixture Corp. will not be liable for delays in performance, including delivery, or for failure to perform; including delays or failure to deliver due to circumstances and conditions beyond our control. Delivery dates represent our best estimates of performance and are subject to variations and specific conditions at time of shipment.

TITLE‑RISK OR LOSS: The products sold shall remain the property of RapidLite Fixture Corp. until fully paid for and the purchaser agrees to perform all acts which may be necessary to perfect and assure retention of title to such equipment by RapidLite Fixture Corp. Risk of loss of equipment or any part of the same shall pass to the purchaser upon delivery of such product or part FOB point of shipment CANCELLATION CHARGE: Orders for stock items may be cancelled prior to shipping without charge. All other orders may not be cancelled unless Rapid is reimbursed for all work already performed and for special material already purchased by Rapid. If an order is cancelled after shipment or if delivery is refused AT DESTINATION, all warehousing, delivery, and return costs will be charged to the Customer. GUARANTEE: RapidLite Fixture Corp. warrants to the purchaser that its fixtures are free from defects in material and workmanship and will be of the kind and quality designated. All fixtures must be installed in compliance with the NATIONAL ELECTRICAL CODE, and bear requirements of UNDERWRITERS LABORATORIES INC. This includes, but is not limited to, proper grounding of ballasts and fixtures as well as prescribed branch and total circuit protection. The liability of RapidLite to the purchaser arising out of the supplying and use of said fixtures, shall not in any case exceed the cost of correcting such defects in fixtures or furnishing replacements. In no event shall RapidLite Fixture Corp. be liable for special, incidental, or consequential damages.

The liability of RapidLite on any claim for loss or liability, including negligence arising out of or connected with the manufacture, sale, delivery, or resale, or use of fixtures shall in no case exceed the unit price of such fixtures. The foregoing shall constitute the sole and exclusive remedy of the purchaser and the sole liability of Rapid, and is exclusive of all other warranties either written, oral, or implied, including all implied warranty of merchantability fitness or of any other obligation on the part of the seller. RETURN OF MERCHANDISE: No merchandise may be returned without prior written authorization from our factory. Requests to return must be made to the factory within 10 business days from delivery. All returns must be shipped prepaid to the location designated on the return authorization. Credit will be issued based on the original invoice price, less a minimum restocking charge of 25% & less reconditioning and replacing costs if necessary and less the freight expense of the original shipment. All non‑stocking, special and custom made or outdated and modified items are non-returnable. CLAIMS: If merchandise is delivered in damaged condition or cartons are missing, a notation must be placed on all papers signed by the receiver or their representative. If unreported or concealed damages are noticed after delivery, the carrier should be contacted within 5 days. Title passes to purchaser upon delivery by Rapid to the carrier. All claims for damages or shortages in transit shall be made by the purchaser with the carrier.
